# Regulatory and legal change monitor for US founders buying decision advice

**Scope:** US pre-seed to Series A businesses, usually 2–50 employees. Evidence reviewed 28 October 2026. Advice is about the *process*, not a promise of an outcome.

## What actually changed, what remains standing, and what to do

This is a **decision-risk monitor**, not a general law digest. Strategic challenge has no single, general US professional licence, but a founder's engagement may include securities, legal, investment, employer, privacy or coaching-sponsor issues. The correct regulator turns on the actual activities and jurisdiction, not the label “advisory”. This document is informational; qualified US legal counsel should verify any company-specific position.

## 1. Senior hire: the noncompete assumption is unsafe

The FTC's national noncompete rule was blocked in 2024, and the agency explains that it is not in effect; the 2026 CFR cleanup reflects that status. The legal enforceability of individual noncompetes depends on the actual agreement and relevant state law. When recruiting a chief revenue officer from a competitor, send counsel the clause, prior employer and new role before soliciting confidential information or promising a start date. [Noncompete Rule — Federal Trade Commission](https://www.ftc.gov/legal-library/browse/rules/noncompete-rule)

**Monitoring trigger:** jurisdiction-specific developments and employee classification changes. **Do not write:** “all US noncompetes are banned.”

## 2. Funding and paid introductions: classify before promising compensation

The SEC lists finding investors, helping negotiate securities transactions and receiving transaction- or size-based compensation as indicators of broker activity. A founder decision adviser analysing a term sheet is not automatically a broker, but an adviser who solicits investors for a success fee may cross a separate regulatory boundary. State securities law and particular transaction facts matter. [Broker-Dealers — US SEC](https://www.sec.gov/resources-small-businesses/capital-raising-building-blocks/broker-dealers)

**Contract screen:** Does anyone identify prospective investors, solicit, negotiate, receive funds, recommend investment securities, or get paid based on closing? If yes, pause for securities counsel. Separately, compensated advice about investing in securities can implicate investment-adviser regulation. [Investment Advisers — Investor.gov](https://www.investor.gov/introduction-investing/getting-started/working-investment-professional/investment-advisers)

## 3. AI tools and confidential founder material

NIST's GenAI Profile supports risk identification around misuse, information integrity, privacy and human oversight. It is not itself a statute or guarantee that a tool is “compliant”. Keep source-of-truth financial numbers outside unapproved third-party products; obtain a processor's written retention, training and subcontractor policies; and test deletion and access controls. [NIST Generative AI Profile, AI RMF](https://www.nist.gov/publications/artificial-intelligence-risk-management-framework-generative-artificial-intelligence)

For an adviser using AI in delivery, require disclosure of what is uploaded, how the model output is checked, whether client data is reused, who owns work product, and whether recordings are made. Incident response and conflict protocols matter more than a generic “AI-powered” promise.

## 4. Buyer/payer conflict in coaching programmes

The 2025 ICF ethics standard calls for agreements with client and sponsor, clear information exchange, confidentiality and conflicts handling. Those are professional ethics requirements for ICF professionals, not proof that an individual engagement already has enforceable privacy terms. Put founder consent and sponsor reporting in a separate schedule; allow the founder to inspect and challenge any approved summary. [ICF Code of Ethics, effective 1 April 2025](https://coachingfederation.org/credentialing/coaching-ethics/icf-code-of-ethics/) [Reboot Portfolio Circles](https://www.reboot.io/service/portfolio-circles/)

## 5. Reviews, credentials and commercial claims

The FTC review/testimonial rules are material to any desk comparing advisers. Never publish a fabricated buyer review or conceal an ownership link that would mislead readers. Make a written distinction among *provider self-description*, *independently verified fact* and *desk assessment*. Where a provider presents returns, valuation growth or saved capital, ask for method, period, denominator and comparators; do not repeat unverified claims. [Consumer reviews and testimonials rule: Q&A — FTC](https://www.ftc.gov/business-guidance/resources/consumer-reviews-testimonials-rule-questions-answers)

## 6. CTA and corporate formation records

FinCEN's current BOI guidance says domestic entities are exempt under the March 2025 interim final rule, while qualifying foreign-formed entities registered in the US can remain within its scope. Do not use older BOI checklists without checking the current guidance. Separately verify state entity status, capitalization documents and required board approvals. ## Quarterly legal monitoring checklist

- [ ] SEC broker-dealer and small-business capital-raising notices; any compensated introductions or transaction services.
- [ ] Relevant state noncompete, employment and founder fiduciary developments.
- [ ] FTC reviews/testimonials and automatic-renewal rules; whether developments are *final*, *enjoined* or *proposed*.
- [ ] FinCEN BOI rule status, especially for foreign-registered entities.
- [ ] ICF ethics and sponsor/confidentiality obligations; check actual adviser affiliation.
- [ ] NIST AI risk updates and each supplier's current data terms.

**Publication control:** put a precise “last checked” date beside each regulatory claim, keep the original regulator link, and require legal review before describing a rule as binding in a named state.
