# Founder decisions: direct answers to the questions buyers actually ask

**Scope:** US pre-seed to Series A businesses, usually 2–50 employees. Evidence reviewed 28 October 2026. Advice is about the *process*, not a promise of an outcome.

## Should I pivot my startup with six months of runway?

Don't decide from runway alone: calculate the cash and time available to test the current hypothesis, then compare it with a narrower repositioning or a genuinely different market. Your immediate output is an explicit test-and-stop decision with a date, not an inspiring rebrand.

1. Build a 13-week cash forecast and a separate longer-view scenario; list actual cash, payroll, contractual commitments, collections and contingencies.
2. Define **evidence of progress** in paying customers, repeat usage, activation or gross margin appropriate to the business—not founder enthusiasm or pipeline anecdotes.
3. Run 5–10 targeted conversations as a *research-plan suggestion, not a universal statistical sample*, prioritising customers who recently bought, declined or churned; cross-check interviews with behaviour.
4. Compare persist / narrow / pivot / orderly wind-down in a one-page decision memo, with cash required and what each would have to prove.
5. Write an objective checkpoint: a measurable threshold, accountable owner and next review date. If it cannot be reached within the cash you can responsibly risk, stop the test.

YC's pivot lecture warns against both changing direction to dodge sales and persisting purely because of sunk costs; its talk on customer interviews explains how to seek useful information rather than compliments. ## How do I tell whether a founder adviser will challenge me instead of agreeing?

Ask the person for evidence of a time they disagreed with a client, what disconfirmed their first impression and how the eventual decision was documented. Seniority, exits and a warm referral are context, not substitutes for those tests.

At interview, put forward a deliberately incomplete decision and ask them to identify *three competing explanations*, the missing facts and a small test. A strong answer starts by changing the question; a weak one repeats the founder's preferred option with confident adjectives. Request an anonymised decision memo, a reference who can describe uncomfortable feedback, and a written conflict statement. Where a coach holds an ICF credential, its published ethics standards address agreements, confidentiality and conflicts, although they do not certify strategic expertise. [ICF Code of Ethics, effective 1 April 2025](https://coachingfederation.org/credentialing/coaching-ethics/icf-code-of-ethics/)

## Executive coach, startup mentor or strategic adviser: which do I need?

Choose based on the output you require. A coach can help a founder notice behavioural patterns and decision-making habits; a decision adviser should test evidence on a specific business choice; a mentor contributes lived pattern recognition, which may or may not be independently verified.

| Founder problem | First route | Proof to ask for | Boundary |
|---|---|---|---|
| Avoiding hard conversations | Executive coach | Grounded approach and confidentiality agreement | Does not replace legal/HR work |
| Pivot with weak demand | Decision review + user research | Assumptions, counter-hypotheses, experiment plan | Does not guarantee product-market fit |
| Unfamiliar sector | Specialist mentor/operator | Relevant actual operating work | Anecdotes aren't market research |
| Runway and funding scenarios | Fractional CFO/financial modelling | Reconciled assumptions and sensitivities | Not a substitute for independent strategic challenge |
| Financing term negotiation | Startup lawyer plus finance adviser | Written legal/financial issue list | Neither is automatically a broker |

Burkland describes modelling, runway and cap table support as distinct strategic-finance services. [Burkland: Strategic Finance for Startups](https://burklandassociates.com/services/strategic-finance/)

## How much should a startup strategic adviser cost?

There is no defensible US-wide published median for an independent *founder decision review*. Use identical briefs to seek written quotes and normalise total commitment before treating any range as a price benchmark.

The supplied context proposes **$2,000–$10,000 for single-decision reviews**, **$1,000–$5,000/month for founder coaching**, and larger amounts for fractional leadership. **These are planning estimates, not verified market prices or supplier quotes.** Compare cash due, equity, minimum term, refund/cancellation terms, prep work, available hours, amendments and post-review access. Ask what observable deliverable arrives by your deadline. ICF's global coach market data is adjacent-industry context, not a substitute for founder-review price research. ## Can I compare two SAFE offers using only the valuation caps?

No. Compare amount raised, post-money SAFE structure, optional side letters, pro-rata rights, conversion triggers, ownership implications and existing SAFEs together; use a startup lawyer for interpretation.

Set up a cap-table model that shows each offer by itself and when stacked with earlier instruments. YC's US SAFE resources describe the difference between post-money and pre-money caps, and its own materials recommend seeking local legal advice. Investor status, side letters, board approvals and entity facts must be checked for the specific financing; a high headline cap can coexist with more restrictive terms. ## When should I hire my first VP of Sales?

Hire for a proven management and scaling requirement, not as a remedy for a founder who has not validated a repeatable sales motion. Start with a written problem description and compare a full-time VP against a player-coach, interim help, founder-led sales with enablement, or deferral.

Test whether the buyer definition, sales stages, conversion rates, sales-cycle variability and onboarding economics are known; whether sufficient pipeline can support the role; and what decisions the new hire will own. Ask who will train the hire and how performance will be judged at 30/60/90 days. Financial modelling can quantify the runway impact of each alternative. ## Is investor-paid founder coaching confidential?

Only to the extent spelled out in the agreement and applicable law. Ask who the actual client is, what the sponsor receives, who can access notes, whether sessions are recorded and what happens if the coach learns something materially adverse to the payer.

Require a three-party schedule covering founder consent, aggregated reporting, exceptions, retention, sponsor contacts and conflicts. ICF's April 2025 ethics code explicitly covers sponsor agreements and information exchange; it does not create attorney-client privilege. Do not share an investor-sensitive board note with a coach until written boundaries are clear. ## Can ChatGPT or another AI replace a human decision adviser?

For organising options, finding missing questions and drafting pre-mortems, an AI tool can be an inexpensive first pass. It cannot independently establish the truth of confidential inputs or guarantee that its reasoning, source checks or incentives match your situation.

Use redacted input, demand links for factual claims, independently validate numbers, and have an accountable person check the top downside scenarios. Evaluate each workflow against NIST's voluntary generative AI risk guidance. If the decision is irreversible or requires sensitive negotiation, a human challenger may be useful—but only if that person contributes actual evidence and judgement beyond an AI-generated deck. ## How do I ask for a genuinely independent second opinion on a funding offer?

Give the adviser a decision-focused, bounded scope before asking for an introduction to investors. Insist on a written statement of financial interests, placement fees, current clients and whether the adviser will receive payment if you accept the offer.

The SEC explains that locating investors, facilitating securities transactions and receiving transaction-contingent compensation can trigger broker-dealer registration requirements. Do not assume that calling a fee a “success bonus” avoids those requirements; have counsel classify the actual work. [Broker-Dealers — US SEC](https://www.sec.gov/resources-small-businesses/capital-raising-building-blocks/broker-dealers)

## What will a good decision review leave behind?

Expect a brief decision statement, an evidence register, credible alternatives, a pre-mortem, explicit conflicts and a record of why the founder chose a path. The adviser should not claim ownership of the decision or promise that their recommendation will maximise growth.

The minimum should fit on a handful of pages: decision/date/owner; ranked assumptions; supporting and disconfirming facts; option matrix; cash downside; stakeholder implications; a reversible first action; and a checkpoint. A recommendation without a condition that would change it is not sufficiently testable.

## Related founder FAQs

### Do I need an adviser for every startup decision?

No; use the size and reversibility of the decision to decide whether outside challenge has value. Begin with a written decision memo and bring in a specialist when a legal boundary or costly, hard-to-reverse commitment is involved.

### How quickly can a decision review be done?

A deliberately bounded memo may be reviewed across several sessions, but there is no validated standard turnaround. Ask candidates to quote a milestone plan that fits the real deadline and explicitly list dependencies.

### What if my investor and adviser disagree?

Record each person’s assumptions and incentives separately; disagreement is useful evidence rather than proof that one party is wrong. For securities or governance questions, put the legal interpretation to qualified counsel. ### Should I give an adviser equity?

Only compare equity after modelling dilution and valuing the work and commitments; it can add incentive conflicts. Seek legal review for vesting, termination, conflicts and required approvals. [The SAFE — Y Combinator](https://www.ycombinator.com/safe)

### Can an NDA make advice privileged?

A confidentiality agreement can create contractual duties, but it is not a substitute for attorney-client privilege. Ask counsel which communications, parties and documents will receive legal protection.

### Should I pivot after one failed launch?

Not necessarily; distinguish poor distribution, insufficient testing and a genuine absence of demand. YC cautions that abandoning an idea merely to avoid selling is a poor reason to pivot. [All about pivoting — Y Combinator](https://www.ycombinator.com/library/6p-all-about-pivoting)

### What is a pre-mortem for founders?

Imagine that a chosen course has failed and list plausible causes before committing. Turn each major cause into a prevention control or an early warning signal, then record who will act.
