# The founder decision path: from research to the right next move

**Scope:** US pre-seed to Series A businesses, usually 2–50 employees. Evidence reviewed 28 October 2026. Advice is about the *process*, not a promise of an outcome.

## First: what is the decision, and when does it become expensive to reverse?

The founder owns the decision. A research desk should help define its evidence and the kind of specialist needed—not turn every question into a consulting sale. The fastest path is to choose **one** live issue, identify the deadline and rule out any move requiring qualified legal or professional input before proceeding.

## Four-step decision path

| Gate | Core question | Founder action | Stop / go condition |
|---|---|---|---|
| **1. Frame** | What exactly are we deciding? | Write one-sentence decision, date, responsible person, and at least 3 options | Do not continue if board/CEO authority or constraints are unknown |
| **2. Evidence** | What would change our mind? | Reconcile customer behaviour, runway and rival hypotheses | If crucial sources are unverified, gather them before committing |
| **3. Challenge** | Who can disagree without benefiting? | Run pre-mortem, map conflicts, choose internal or independent challenge | Escalate legal/securities/finance boundaries immediately |
| **4. Commit and review** | What's the least irreversible next action? | Set cost cap, accountable owner, test and review date | Stop, modify or proceed on predeclared signals |

YC's discussions of pivoting and user conversations are useful for Gate 2; SEC's broker-dealer guidance makes Gate 3 critical for financing services. ## Decision-specific playbooks

### A. “We have six months of runway — should we pivot?”

- [ ] Establish current cash, debt, accounts payable and unavoidable monthly outflows.
- [ ] Identify the smallest revenue/usage hypothesis to test before cash reaches a safety floor.
- [ ] Compare **persist**, **narrow the target**, **pivot**, and **managed wind-down**.
- [ ] Seek customers with adverse experiences, not only advocates.
- [ ] Hold a blinded pre-mortem; list disconfirming evidence and the next decision date.

**Specialist threshold:** if the runway reconciliation is contested, bring in a finance modeller; if the team is heavily invested in a narrative and the decision cannot wait, procure bounded independent challenge. Burkland's public offer illustrates available strategic-finance service types. [Burkland: Strategic Finance for Startups](https://burklandassociates.com/services/strategic-finance/)

### B. “We have two investor offers — which should we take?”

- [ ] Normalise cash raised, timing, instrument, conversion, side letters and governance rights.
- [ ] Compare an actual cap-table and dilution scenario for each offer, including earlier SAFEs.
- [ ] List each adviser's investment/referral/closing interests; separate buyer, payer and beneficiary.
- [ ] Get startup securities counsel to review legal terms and required approvals.
- [ ] Do not compensate unregistered parties for investor placement without regulatory review.

**Specialist threshold:** counsel is appropriate *before* signing legal instruments or agreeing to regulated introduction activities, not only after a dispute. ### C. “Our sales are stalling — should we hire a VP?”

- [ ] Verify buyer definition and founder-led sales evidence; identify the bottleneck.
- [ ] Estimate all-in cash and time to first productive result for a full-time hire.
- [ ] Compare internal enablement, a player-coach, fractional help and no hire.
- [ ] Set 30/60/90-day outcomes that measure reality, not presentations.
- [ ] Review employment and equity terms with qualified professionals where necessary.

**Specialist threshold:** if unclear whether the problem is market demand, onboarding or leadership, buy a bounded role-and-decision review *before* the long-term hire.

### D. “My board wants one thing, I want another”

- [ ] Put each party's assumptions and evidence in separate columns.
- [ ] Identify relevant investor exposures, governance rights and authority.
- [ ] Invite a neutral challenger; avoid an adviser paid for a particular outcome.
- [ ] Record dissent, options, decision owner and reconsideration trigger.

**Specialist threshold:** corporate counsel if board powers, fiduciary duties or shareholder rights are disputed; a facilitator alone cannot decide legal authority. Reboot's board episode is a discussion prompt, not a legal template. [Reboot podcast: How To Be a Stable Board Member](https://www.reboot.io/episode/164-how-to-be-a-stable-board-member-with-aileen-lee-brad-feld/)

### E. “My investor offers to pay for an executive coach”

- [ ] Define whether the founder or sponsor is the client and who can terminate.
- [ ] Agree exact reporting, access, recordings, retention and exception clauses.
- [ ] Require written conflict and compensation disclosures.
- [ ] Assess coach method against the actual leadership issue; do not assume coaching is a strategy review.

**Specialist threshold:** use appropriate contract/legal review when sponsor reporting conflicts with founder confidentiality; ICF's 2025 code is a practical ethics reference. ## When a specialist saves time and money — without claiming measured savings

Choose a specialist when **time is the constraint**, **a discipline is missing**, **incentives cannot be separated internally**, or **a single mistake could consume an irrecoverable share of cash, control or trust**. The claim that specialists *will* save money is unproven without counterfactual data; frame the value as reducing unanswered uncertainty and avoiding avoidable scope errors.

| Unanswered question | Specialist category | Request | Do not pay for |
|---|---|---|---|
| What can we safely afford? | Fractional CFO / finance modeller | Reconciled scenarios + assumptions | Unexplained optimistic forecasts |
| What does this funding term actually mean? | US startup securities lawyer | Legal review and negotiated issue list | Unlicensed placement or success promises |
| Why are we resisting dissent? | Executive coach / facilitator | Contracted reflective work with confidentiality | Claims to replace governance |
| Is our business hypothesis wrong? | Independent strategic challenger + customer researcher | Evidence register and bounded test | Generic strategy slides |
| Who can execute after the choice? | Fractional executive or hire | Decision rights, KPIs and time-to-value | A second “independent” review by implementation seller |

## Adviser brief: send this before requesting a quote

**Decision:** [one precise question]. **Decision deadline and irreversible event:** [date]. **Company stage and constraints:** [redacted]. **Known evidence / contradictory facts:** [sources]. **Alternatives needing comparison:** [at least three]. **Required deliverables:** [memo, options, downside, one live review, stop triggers]. **Conflicts:** [investments/referrals/follow-on revenue/sponsor reporting]. **Data and AI terms:** [approved/restricted]. **Fee:** [full fixed cost or cap including extras]. **Authority:** [founder/board retains choice].

## Close the loop

After the decision, archive the evidence version and set a calendar checkpoint. Compare what happened to the *predeclared* test; do not rewrite history to make the choice appear certain. If findings change, reverse course with the lowest possible avoidable loss. Next, ask the desk for a **decision-specific category comparison or anonymised adviser shortlist** rather than a general introduction.

## Related founder FAQs

### What is the very first action?

Write the exact consequential decision, deadline, accountable owner and at least three alternatives. Without that, researching adviser firms becomes unproductive.

### When should I bring in a specialist?

When a missing discipline, conflict, legal boundary or irreversible downside exceeds what your team can responsibly test alone. Scope the specialist to the specific unanswered question.

### Should I start with a consultant before reconciling runway?

Usually clarify available cash first when runway controls the possible decision. A finance specialist can help reconcile facts before wider strategy review. [Burkland: Strategic Finance for Startups](https://burklandassociates.com/services/strategic-finance/)

### Can an investor-introduction adviser charge on close?

The SEC says transaction-based compensation and investor-finding may trigger broker registration. Seek securities counsel before relying on any such fee structure. [Broker-Dealers — US SEC](https://www.sec.gov/resources-small-businesses/capital-raising-building-blocks/broker-dealers)

### What should an independent brief contain?

A single decision, deadline, evidence, options, conflicts, specific outputs and the permitted handling of sensitive data. Keep founder or board authority clear.

### How do I stop an advisory retainer drifting?

Set a defined decision deliverable, cadence, cancellation notice and an explicit renewal test. Do not renew merely because the provider is well liked.

### Is the decision process meant to guarantee success?

No; the goal is to expose assumptions, calculate downside and make the choice reviewable. Commercial results are uncertain even with rigorous preparation.
